1. About Mint Books
Mint Books ("the Service") is cloud-based invoicing, expense tracking, and tax management software operated by iCertifi ("we", "us", "our"). By using the Service, you agree to these terms.
2. Account registration
- You must provide accurate and complete information when creating an account.
- You are responsible for maintaining the security of your account credentials.
- You must notify us immediately if you suspect unauthorised access to your account.
- One organisation account per business entity. Team members can be invited with appropriate roles.
3. Acceptable use
You agree to use the Service only for lawful business purposes. You must not:
- Submit false or fraudulent information to HMRC or any third party via the Service
- Attempt to access other users' data or circumvent security controls
- Use the Service to store or transmit malicious software
- Reverse-engineer, decompile, or extract source code from the Service
- Exceed reasonable usage limits that may affect service performance for other users
4. HMRC Making Tax Digital integration
The Service integrates with HMRC APIs to submit VAT returns and Income Tax Self Assessment (ITSA) quarterly updates on your behalf. By using these features:
- You authorise us to submit data to HMRC using the OAuth 2.0 credentials you provide when connecting your HMRC account.
- You are responsible for verifying that all figures are correct before confirming submission. We display a full data preview for your review prior to each submission.
- Submissions are final. Once submitted to HMRC, returns cannot be reversed through the Service. Any corrections must be made directly with HMRC.
- We collect fraud prevention data as required by HMRC, including your IP address, browser information, and device details. This data is transmitted to HMRC with each API request as mandated by law.
- We do not store your HMRC login credentials. We use OAuth 2.0 and only store access and refresh tokens.
5. Your responsibilities
- You are solely responsible for the accuracy of your financial data, invoices, expenses, and tax submissions.
- The Service provides calculations and summaries as aids only — they do not constitute financial or tax advice.
- You should consult a qualified accountant for tax advice and verify all HMRC submissions independently.
- You are responsible for meeting all HMRC filing deadlines.
6. Data ownership
- You retain full ownership of all data you enter into the Service.
- You can export your data at any time using the built-in export features (CSV, PDF).
- We do not claim any intellectual property rights over your data.
- Upon account deletion, your data will be removed in accordance with our Privacy Policy.
7. Service availability
- We aim to provide the Service on a continuous basis but do not guarantee 100% uptime.
- We may perform maintenance that temporarily affects availability, with advance notice where possible.
- Third-party services (HMRC APIs, payment processors, bank feeds) are outside our control and may experience independent outages.
8. Limitation of liability
To the maximum extent permitted by law:
- The Service is provided "as is" without warranties of any kind.
- We are not liable for any losses arising from inaccurate tax calculations, missed deadlines, or rejected HMRC submissions.
- We are not liable for any indirect, consequential, or incidental damages.
- Our total liability to you shall not exceed the fees paid by you in the 12 months preceding the claim.
9. Intellectual property
The Service, including its design, code, and branding, is owned by iCertifi and protected by copyright and other intellectual property laws. You may not copy, modify, or distribute any part of the Service without our written permission.
10. Termination
- You may close your account at any time.
- We may suspend or terminate your account if you breach these terms.
- Upon termination, you may export your data within 30 days before it is permanently deleted.
11. Changes to these terms
We may update these terms from time to time. We will notify you of material changes via email or in-app notification. Continued use of the Service after changes take effect constitutes acceptance of the updated terms.
12. Governing law
These terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
